The round

Is this an offer to invest?

No. Nothing on this website is an offer of securities, a solicitation to invest or investment advice. Any future offer will only be made through formal documentation to eligible investors, in line with applicable law.

How much is OptiSync planning to raise?

Capital Round I is planned in a range of €250,000 to €350,000, with a target of €300,000. These amounts are indicative and may change.

Which instrument will be used?

The final investment structure will be determined during the financing process with prospective lead and participating investors. We are currently considering structures including equity and convertible or loan-based instruments. The preference selected in the registration form is used only to understand investor interest.

What will the funds be used for?

Primarily product completion, commercialisation and go-to-market: finishing the MVP, finalising the company structure and IP, production infrastructure, first go-to-market and runway to the first paying customers.

When is the round expected to close?

The roadmap targets Q4 2026. Dates are targets and may shift.

Stage & investment profile

What has OptiSync already validated?

The core platform already operates in a live multichannel e-commerce environment. Supplier integrations, Amazon and Kaufland workflows, product and listing management, pricing, order routing and fulfilment processes are already being exercised with real operational data.

What still needs to be proven?

The next stage is commercial rather than conceptual: external customer acquisition, repeatable onboarding, pricing and packaging, and the ability to grow recurring revenue efficiently. Capital Round I is intended to finance that transition.

What are the main investment risks?

OptiSync remains an early-stage company. Key considerations include commercial execution, customer adoption, dependence on external marketplace and supplier ecosystems, future financing, team concentration and completion of the final corporate structure. Can I sell my investment later?

Any future investment should be viewed as long-term. Early-stage company interests are generally illiquid and there may be no active secondary market. Liquidity would typically depend on a future company transaction, permitted transfer or other exit event, none of which can be guaranteed.

Process

Is registering interest binding?

No. Registering interest is non-binding for you and for OptiSync, and involves no payment.

What happens after I register?

We review your registration and get in touch personally. If there is a fit, eligible investors receive further information and, later, the formal documentation.

Is there a minimum ticket?

Any minimum will be set out in the formal documentation. The form only asks for an indicative range so we can plan our conversations.

Who can invest?

We welcome interest from individual, corporate and professional investors in Europe and internationally. Actual participation will depend on the final round structure and the legal requirements applicable to each investor.

Company & data

Which company would I invest in?

The long-term operating structure is currently being finalised. Any investor participation would only take place once the relevant entity, ownership structure, investment terms and investor rights have been fully documented.

Who owns the OptiSync technology?

The OptiSync technology was developed before the final operating structure was selected. The relevant software and intellectual property will be consolidated within the operating company through a documented transaction as part of the financing process.

How is my data handled?
